1. Agreement to Terms
By accessing and using services provided by PINNACLE SOLUTIONS SERVICES LTD (RC 1883217), registered under the Companies and Allied Matters Act (CAMA) 2020 ("Company," "we," "us," or "our"), you ("Client" or "you") agree to be bound by these Terms of Service and all applicable laws and regulations of the Federal Republic of Nigeria.
2. Services Provided
PINNACLE SOLUTIONS SERVICES provides the following automation services:
- WhatsApp Business API Automation: Automated customer engagement, chatbot development, broadcast messaging, and integration services using WhatsApp Business API.
- AI Voice Agent Services: Intelligent phone answering systems, call automation, appointment scheduling, and lead qualification using AI-powered voice technology.
- Custom Integration Services: Integration of automation solutions with existing business systems including CRM, e-commerce platforms, and payment gateways.
- Training and Technical Support: Onboarding, training, and ongoing technical support for all implemented solutions.
3. Client Responsibilities and Obligations
3.1 Accurate Information
Clients must provide accurate, current, and complete business information including company registration details, authorized contact information, and business verification documents.
3.2 WhatsApp Business Policy Compliance
Clients must comply with all WhatsApp Business Policies, including but not limited to:
- Obtaining proper opt-in consent from all message recipients
- Providing clear opt-out mechanisms
- Not sending spam or unsolicited messages
- Accurately representing business identity
- Complying with WhatsApp Commerce Policy
3.3 Lawful Use
Clients must not use our services for:
- Illegal activities or fraud
- Harassment, abuse, or threats
- Spreading misinformation or malware
- Violating intellectual property rights
- Impersonating others or misrepresenting affiliation
- Any activity that violates Nigerian law or international regulations
3.4 Data Protection Compliance
Clients must comply with Nigeria Data Protection Regulation (NDPR) 2019 and obtain necessary consents for processing customer data through our automation services.
4. Payment Terms and Pricing
4.1 Fees and Payment
- All fees are quoted in Nigerian Naira (₦) unless otherwise specified
- Payment terms are as agreed in the service agreement or invoice
- Accepted payment methods include bank transfer, online payment platforms, and other methods as specified
- All prices exclude applicable taxes unless stated otherwise
4.2 Late Payment
Late payments may result in:
- Service suspension after 7 days of non-payment
- Service termination after 30 days of non-payment
- Late payment fees as specified in the service agreement
4.3 Refund Policy
Setup fees are non-refundable. Monthly or usage-based fees may be prorated for service issues caused by our platform, subject to our service level agreement.
5. Service Level and Availability
5.1 Uptime Commitment
We aim for 99% service uptime on a monthly basis. However, we cannot guarantee uninterrupted service due to factors beyond our control, including:
- Third-party platform outages (WhatsApp, Meta, voice providers)
- Internet connectivity issues
- Force majeure events
- Scheduled maintenance (with advance notice)
5.2 Support
Technical support is available during business hours (Monday-Friday, 9:00 AM - 6:00 PM WAT). Emergency support may be available for enterprise clients as specified in service agreements.
6. Intellectual Property Rights
6.1 Our Intellectual Property
All proprietary technology, software, documentation, and materials provided by PINNACLE SOLUTIONS SERVICES remain our exclusive property. Clients receive a limited, non-transferable license to use our services.
6.2 Client Content
Clients retain ownership of all content, data, and materials provided to us. We are granted a limited license to process this content solely for providing services.
7. Confidentiality
Both parties agree to maintain confidentiality of:
- Business information and trade secrets
- Customer data and communications
- Pricing and commercial terms
- Technical implementation details
8. Limitation of Liability
8.1 Disclaimer
Our services are provided "as is" without warranties of any kind. We do not guarantee specific business results or outcomes from using our automation services.
8.2 Liability Limits
PINNACLE SOLUTIONS SERVICES shall not be liable for:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Data loss or corruption
- Third-party service interruptions
- Damages exceeding fees paid in the 12 months preceding the claim
8.3 Client Responsibility
Clients are solely responsible for:
- Content of automated messages sent through our services
- Compliance with applicable laws and regulations
- Obtaining necessary consents from message recipients
- Backup of critical business data
9. Indemnification
Clients agree to indemnify and hold harmless PINNACLE SOLUTIONS SERVICES from claims, damages, and expenses arising from:
- Client's use of our services
- Violation of these Terms of Service
- Violation of third-party rights
- Client's content or business practices
10. Term and Termination
10.1 Service Period
Services continue on a month-to-month basis or as specified in the service agreement.
10.2 Termination by Either Party
- Either party may terminate services with 30 days written notice
- Immediate termination may occur for material breach of these terms
- Immediate termination may occur for non-payment after 30 days
10.3 Effects of Termination
- Access to services will be discontinued
- Outstanding fees remain payable
- Client data will be available for download for 30 days, then deleted
- Confidentiality obligations survive termination
11. Modifications to Services and Terms
We reserve the right to:
- Modify these Terms of Service with 30 days notice
- Update service features and pricing
- Discontinue services with reasonable notice
Continued use of services after modifications constitutes acceptance of updated terms.
12. Dispute Resolution
12.1 Governing Law
These Terms of Service are governed by the laws of the Federal Republic of Nigeria.
12.2 Dispute Resolution Process
- Negotiation: Parties agree to first attempt good-faith negotiations
- Mediation: If negotiation fails, parties may pursue mediation
- Arbitration: Unresolved disputes will be settled by arbitration in Nigeria
12.3 Jurisdiction
Any legal proceedings shall be conducted in the courts of Nigeria with jurisdiction over our registered office.
13. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:
- Natural disasters
- Government actions or regulations
- War, terrorism, or civil unrest
- Internet or telecommunications failures
- Third-party platform outages
14. Entire Agreement
These Terms of Service, together with any service agreements and order forms, constitute the entire agreement between parties and supersede all prior agreements or understandings.
